Lead Wave Software License Agreement

Effective Date: 25 February 2026

1. Introduction

These Terms & Conditions (“Agreement”) govern your access to and use of the Lead Wave software, website, licensing system, and related services (collectively, the “Service”).

By purchasing, downloading, installing, activating, or using Lead Wave, you agree to be bound by this Agreement.

If you do not agree, you must not use the Service.

2. Business Identity & Legal Status

Lead Wave is an independently operated business and is not affiliated with, endorsed by, or connected to WhatsApp, Meta Platforms Inc., or any third-party messaging platform.

All trademarks remain the property of their respective owners.

Lead Wave is operated under valid reseller rights obtained from the original software owner. We are authorized to distribute and resell the software and create reseller licenses where applicable.

3. Definitions

For the purpose of this Agreement:

  • “Software” means the Lead Wave desktop application.
  • “Service” means the Software, licensing system, website, updates, and related services.
  • “User” means any individual or entity purchasing or using the Software.
  • “License” means the limited, non-transferable right to use the Software.
  • “Reseller” means a person or entity authorized to distribute the Software under a reseller agreement.

4. Nature of the Product

Lead Wave is a desktop-based automation tool designed for structured business communication.

The Software is provided as a productivity tool only.

Lead Wave does not guarantee:

  • Lead generation
  • Sales growth
  • Revenue increase
  • Account safety
  • Platform compatibility
  • Continuous uptime

Results depend entirely on user behavior, compliance, and external platform conditions.

5. License Grant

Upon valid payment, you are granted a limited, non-exclusive, non-transferable license to use the Software according to your purchased plan.

Unless otherwise specified:

  • One license = one activation
  • Licenses may not be shared
  • License keys may not be resold without authorization
  • License renewal is manual unless stated otherwise

We reserve the right to suspend or revoke licenses in cases of:

  • Fraud
  • Payment disputes
  • Abuse
  • Piracy
  • Violation of these Terms

6. Reseller Rights

Authorized resellers may distribute the Software subject to reseller terms.

Resellers must:

  • Represent the product accurately
  • Not modify the Software
  • Not mislead customers
  • Not make false promises about results

We reserve the right to terminate reseller rights if misuse occurs.

7. Acceptable Use Policy

You agree NOT to use the Software for:

  • Spam distribution
  • Fraudulent activity
  • Harassment
  • Phishing
  • Political manipulation
  • Illegal marketing
  • Unauthorized data scraping
  • Violating third-party platform policies
  • Bypassing platform rate limits or restrictions
  • Impersonation

Lead Wave does not bypass, modify, reverse engineer, or exploit messaging platform security systems.

Users are solely responsible for ensuring compliance with all applicable laws and platform policies.

Any misuse is the sole responsibility of the User.

8. Third-Party Dependency

Certain features depend on third-party platforms.

If third-party platforms:

  • Change APIs
  • Modify policies
  • Restrict automation
  • Enforce new compliance measures

Some features may temporarily or permanently stop functioning.

We do not guarantee compatibility with any third-party service at all times.

9. Platform Risk Disclaimer

Messaging platforms may:

  • Restrict accounts
  • Suspend numbers
  • Limit automation
  • Update policies

We do not guarantee account safety.

Account safety depends entirely on user behavior and compliance practices.

10. AI Integration Disclaimer

Lead Wave allows integration with third-party AI services using user-provided API keys.

We do not store or access your API credentials.

We are not responsible for:

  • AI-generated outputs
  • Inaccurate responses
  • API costs
  • Account issues related to AI services

AI services are used at your own risk.

11. Payments & Refund Policy

Due to the digital and instantly accessible nature of software licensing:

All payments are final once a license key has been generated or activated.

We do not offer refunds after license issuance, except where required by applicable law.

Users are strongly encouraged to review all product details, disclaimers, and documentation before purchasing.

By completing payment, you acknowledge and accept this no-refund policy.

12. Data & Storage

Lead Wave is a desktop-based application.

All campaign data, contact lists, and messaging content remain stored locally on the user’s computer.

We do not access or store user messaging data.

We retain limited data such as:

  • Name
  • Email
  • License records
  • Billing confirmations

We retain this information until the user requests deletion by contacting:

support@leadwave.site

13. Warranty Disclaimer (AS IS)

The Software is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

We disclaim all warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted service
  • Error-free operation

Use of the Software is at your own risk.

14. Limitation of Liability

To the maximum extent permitted by law:

Lead Wave shall not be liable for:

  • Business losses
  • Revenue loss
  • Account bans
  • Data loss
  • Missed leads
  • Indirect or consequential damages
  • Third-party disruptions

Total liability shall not exceed the amount paid for the license.

15. Indemnification

You agree to indemnify and hold Lead Wave harmless from any claims, damages, liabilities, or legal expenses arising from:

  • Your misuse of the Software
  • Violation of laws
  • Violation of platform policies
  • Claims made by third parties due to your actions

16. Force Majeure

We shall not be liable for delays or failures caused by events beyond our reasonable control, including but not limited to:

  • Government actions
  • Internet outages
  • Platform restrictions
  • Natural disasters
  • Policy changes
  • Technical disruptions

17. Termination

We may suspend or terminate access if you violate these Terms.

Upon termination:

  • License access may be revoked
  • No refunds shall be issued

18. Severability

If any provision of this Agreement is found invalid, the remaining provisions shall remain in effect.

19. Entire Agreement

This Agreement constitutes the entire agreement between you and Lead Wave and supersedes all prior communications.

20. Governing Law

This Agreement is governed by the laws of India.

Jurisdiction shall lie in Chhattisgarh, India.
